Introduction<\/strong><\/h2>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">SOSV (\u201cSOSV\u201d) operates each website that links to these Terms of Use together with our SOSV Platforms (as defined below), and online services (collectively, the \u201cSite\u201d), as well as our other services, offerings, and other interactions You may have with us (together with our Site, collectively referred to as our \u201cServices\u201d). By accessing or using our Services in any way, You are agreeing to these terms and conditions (the \u201cTerms\u201d) and concluding a legally binding contract with SOSV. These Terms will remain in effect while You use the Services. Do not access or use our Services if You are unwilling or unable to be bound by the Terms.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">These Terms contain an Arbitration Agreement at Section 14 which will, with limited exception, require You to submit any dispute, controversy, or claim You may have against SOSV to binding and final arbitration. In accordance with the Arbitration Agreement provisions at Section 14, You will only be permitted to pursue claims against SOSV on an individual basis, not as a plaintiff or class member in any class or representation action or proceeding, and You will only be permitted to seek relief (including monetary, injunctive, and declaratory relief) on an individual basis.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left has-large-font-size\" id=\"definitions\"><strong>2. Definitions<\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong>a. Parties<\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">\u201cYou\u201d and \u201cYour\u201d refer to You, as a user of our Services. A \u201cuser\u201d is someone who accesses, posts, edits, browses, or in any way uses our Services.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">\u201cWe,\u201d \u201cus,\u201d and \u201cour\u201d refer to SOSV.<\/p>\n\n\n\n<p class=\"has-text-align-left has-darkblue-color has-text-color\"><strong>b. Content<\/strong><\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">\u201c<strong>Content\u201d <\/strong>means text, images, photos, audio, video and all other forms of data or communication.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>\u201cYour Content\u201d<\/strong> means Content that You submit or transmit to, through, or in connection with our Services, such as posts, comments, invitations, messages, and information that You publicly display.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">\u201c<strong>User Content\u201d<\/strong> means Content that users submit or transmit to, through, or in connection with our Services.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">\u201c<strong>SOSV Content\u201d <\/strong>means Content that we create and make available in connection with our Services.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>\u201cThird Party Content\u201d<\/strong> means Content that originates from parties other than SOSV or its users, which is made available in connection with our Services.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>\u201cSite Content\u201d<\/strong> means all of the Content that is made available in connection with our Services, including Your Content, User Content, Third Party Content, and SOSV Content.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>\u201cSOSV Platform(s)\u201d<\/strong> means any and all products, services, applications, platforms, and\/or systems hosted or facilitated by SOSV, and made available to You from time to time, where SOSV may collect personal and\/or corporate\/business data from You.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>\u201cSOSV Platform Community\u201d<\/strong> means accepted members\/users of the SOSV Platforms.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left has-large-font-size\" id=\"general-terms\"><strong>3. General Terms<\/strong><\/h2>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.1.<\/strong> We reserve the right to modify, update, or discontinue our Services at our sole discretion, at any time, for any or no reason, and without notice or liability.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.2.<\/strong> We may provide You with notices, including those regarding changes to the Terms by email, regular mail or communications through our Services<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.3.<\/strong> Except as otherwise stated below, nothing herein is intended, nor will be deemed, to confer rights or remedies upon any third party.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.4.<\/strong> The Terms contain the entire agreement between You and us regarding the use of our Services, and supersede any prior agreement between You and us on such subject matter. The parties acknowledge that no reliance is placed on any representation made but not expressly contained in these Terms.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.5.<\/strong> Any failure on SOSV\u2019s part to exercise or enforce any right or provision of the Terms does not constitute a waiver of such right or provision. The failure of either party to exercise in any respect any right provided for herein shall not be deemed a waiver of any further rights hereunder.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.6.<\/strong> If any provision of the Terms is found to be unenforceable or invalid, then only that provision shall be modified to reflect the parties\u2019 intention or eliminated to the minimum extent necessary so that the Terms shall otherwise remain in full force and effect and enforceable.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.7.<\/strong> The Terms, and any rights or obligations hereunder, are not assignable, transferable or sublicensable by You except with SOSV\u2019s prior written consent, but may be assigned or transferred by SOSV without restriction. Any attempted assignment by You shall violate these Terms and be void.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>3.8.<\/strong> The section titles in the Terms are for convenience only and have no legal or contractual effect.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left has-large-font-size\" id=\"using-our-services\"><strong>4. Using Our Services<\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong>4.1. General Use<\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">We may modify these Terms from time to time. You understand and agree that Your access to or use of our Services is governed by the Terms effective at the time of Your access to or use of our Services. If we make material changes to these Terms, we will post a revised version of the Terms on our Site with the date of such revision made. You should revisit these Terms on a regular basis as revised versions will be binding on You and continued access to or use of our Services after the effective date of modifications to the Terms indicates Your acceptance of the modifications.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">We reserve the right to remove, screen, edit, or reinstate User Content from time to time at our sole discretion for any reason or no reason, and without notice to You in accordance with the terms below. We have no obligation to retain or provide You with copies of Your Content, nor do we guarantee any confidentiality with respect to Your Content.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">To access or use our Services, You must be 18 years or older and have the requisite power and authority to enter into these Terms. You may not access or use our Services if we have previously banned You from our Site or closed Your account.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">We grant You permission to use our Services subject to the restrictions in these Terms. SOSV Platform And User Accounts<\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">You may have to create an account and provide certain information about Yourself in order to use some of the features that are offered through our Services. You are responsible for Your account, any passwords used, any content shared and for any and all access to Your SOSV Account and SOSV Platforms. You agree to report any breach or unauthorised access to Your account. SOSV retains the right to close Your account at any time at our discretion.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">If You are a confirmed SOSV Platform user You can use our general Services and subject to our content guidelines below use the SOSV Platform to utilize our Services to access resources, post materials, events, announcements and relevant news to other SOSV Platform Community members.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong>4.3. <strong>Communications From SOSV And Other Users<\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">By creating an account, You agree to receive certain communications in connection with Your use of our Services. For example, You might receive questions or requests from other Users related to information or events You post on using our Services (for example You may receive emails or communications in accordance with the contact details You disclose or You may receive direct messages through the instant messaging service, Slack).<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">If You have subscribed to them, and in accordance with our <a href=\"\/privacy-statement\">Privacy Statement<\/a>, You may also receive email newsletters, information regarding updates or additions to our Services or invitations to events. We provide unsubscribe links in all of our email footers if You no longer wish to receive those communications from us.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong>4.4. <strong>Use Of Insignia<\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">As a member of the SOSV Platform Community, You may use the SOSV trademarks and service marks in connection with Your use of our Services provided that at all times You comply with the <a href=\"\/brand-guidelines\/\">SOSV branding use guidelines<\/a>, as may be amended from time to time. You acknowledge and agree that how You utilize our Services as a member impacts our brand. Accordingly, You agree not to utilize our Services in a manner that diminishes and\/or tarnishes our image and\/or reputation, and that we may terminate Your status as a member of the SOSV Platform Community (a \u201cMember\u201d) and\/or license to use our Services immediately if You do so. You may not receive compensation or favor from third parties in connection with Your status as a Member. In addition, You may not enter into any form of agreement on behalf of SOSV without our written approval.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">Likewise You agree that we may use Your trademarks and service marks in so far as is required for the running of the SOSV Platform and in any other context as agreed to by You (i.e. as a term of any other contract You are party to with SOSV).<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left has-large-font-size\" id=\"content\"><strong>5. Content<\/strong><\/h2>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong>5.1. <strong><strong>Content Guidelines<\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">The purpose of our Services is to promote the SOSV Community. They are not intended to be utilized as a forum for solicitation for investment, for the provision of any form of specialised advice, or for commercial gain by its users. Any content or resources attributed to or taken from the SOSV website is for information purposes only and does not constitute any form of specialised or professional advice.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong>5.2. <strong><strong>Responsibility For Your Content<\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">You alone are responsible for Your Content and assume all risks associated with Your Content. We own the SOSV Content, including but not limited to the visual interfaces, interactive features, graphics, design and all other elements and components of our Services excluding Your Content, User Content, and Third Party Content. We also own the copyrights, trademarks, service marks, trade names, and other intellectual and proprietary rights throughout the world (<strong>\u201cIP Rights\u201d<\/strong>) associated with the SOSV Content and our Services, which are protected by copyright, trade dress, patent, trademark laws and all other applicable intellectual and proprietary rights and laws. As such, You may not modify, reproduce, distribute, create derivative works or adaptations of, publicly display or in any way exploit any of the SOSV Content in whole or in part except as expressly authorized by us. Events And Acceptance Of Terms<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">SOSV hosts a number of events or such similar gatherings, meet ups, promotions etc., (each an <strong>\u201cSOSV Event\u201d<\/strong>) or may promote other third party hosted events or gatherings etc. on its Services (each an <strong>\u201cNon-SOSV Event\u201d<\/strong>), collectively (the <strong>\u201cEvents\u201d<\/strong>).<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">In order to participate or attend any Events You must agree to the terms in this Policy, specifically this Section 7. If You find that You cannot or will not agree to such terms, please do not RSVP to or attend any Events. If You RSVP to any Events through our Services, You hereby indicate that You have read, understand and agree to these event terms.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">If You are employed by SOSV these Terms will govern Your participation in any Event to the extent such Terms are not inconsistent with SOSV\u2019s standard employment agreements or policies.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong><strong><strong><strong><strong><strong>7.2. Assumption Of Risk<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">Although we try to create a safe environment at SOSV Events, accidents may occur.<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>You agree to carefully consider the inherent risks in any activities that You choose to take part in and to take reasonable precautions before You choose to attend or participate at a SOSV Event.<\/li>\n\n\n\n<li>For example, You should ensure that You are in good physical health before engaging in any physical activity at an Event. You should only consume alcoholic beverages as may be available at any Event responsibly given the risks associated with any activities while Your judgment is impaired.<\/li>\n\n\n\n<li>Second, please note that some of the other Event guests may be less responsible than You, and may themselves create additional risks to You despite their best intentions.<\/li>\n\n\n\n<li>In summary, You understand that Your attendance and participation at Events is voluntary, and You agree to assume responsibility for any resulting injuries to the fullest extent permitted under applicable law. By the same token, You agree that SOSV is not responsible for any injuries You might sustain at Events listed on our Services.<\/li>\n\n\n\n<li>You (for Yourself, Your heirs, personal representatives, or assigns, and anyone else who might make a claim on Your behalf) hereby release, waive, discharge and covenant not to sue, SOSV and its parents, subsidiaries, affiliates, officers, directors, partners, shareholders, members, agents, employees, vendors, sponsors and volunteers from any and all claims, demands, causes of action, damages, losses or expenses (including court costs and reasonable attorneys\u2019 fees) which may arise out of, result from, or relate in any way to Your attendance at any Event, except for any gross negligence or wilful misconduct expressly on the part of SOSV.<\/li>\n\n\n\n<li>You further agree to indemnify and hold SOSV, its parents, subsidiaries, affiliates, officers, directors, partners, shareholders, members, agents, employees, vendors, sponsors and volunteers and representatives harmless, including costs, liabilities and legal fees, from any claim or demand made by any third party due to, related to, or connected with Your attendance or conduct at any Event.<\/li>\n<\/ul>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong><strong><strong><strong><strong><strong>7.3. Photos<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">SOSV and its sponsors and vendors sometimes take photos and videos at SOSV Events, and later use them for promotional purposes. By participating or attending any SOSV Event, You agree that You may appear in some of these photos and videos, and You authorize their use in this fashion. In addition, if You take any photos or videos of attendees at a SOSV Event and provide them to us, You authorize us to use them in the same fashion, and represent that the attendees that appear in Your photos and videos have consented to such use. We do not control Non-SOSV Events or the people that organize them. It is possible that organizers or attendees of Non-SOSV Events will take photos or shoot videos in which You appear and then post them online (including, possibly, on our Services). By RSVP\u2019ing to a Non-SOSV Event through our Services, You authorize SOSV\u2019 use of such media for promotion purposes.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\"><strong><strong><strong><strong><strong><strong>7.4. Such events are Non-SOSV Events and are not sponsored or endorsed by SOSV, even when promoted through our Services. All terms and conditions related to Non-SOSV Events apply equally to such events. If You organize such an event, You agree not to create the impression that it is sponsored or endorsed by SOSV. Any such action could prevent You from accessing Your account, our Services, Your Content, Site Content, or any other related information.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\"><strong>12.3.<\/strong> Please note that in the event of any termination of these Terms, whether by You or us, relevant provisions of these Terms that, by their nature, should survive termination of these Terms (including for example, any obligation You have to indemnify SOSV, any limitation on SOSV\u2019s liability, any term in respect of ownership of intellectual property rights, terms regarding disputes between You and SOSV including without limitation the arbitration agreement), shall survive termination.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left has-large-font-size\" id=\"choice-of-law\"><strong>13. <strong><strong>Choice Of Law<\/strong><\/strong><\/strong><\/h2>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">The laws of the State of New Jersey, as well as applicable federal laws of the United States, shall govern these Terms, without regard to conflict of law provisions.<\/p>\n\n\n\n<h2 class=\"wp-block-heading has-text-align-left has-large-font-size\" id=\"arbitration-agreement\"><strong>14. <strong><strong>Arbitration Agreement<\/strong><\/strong><\/strong><\/h2>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">Please note the provisions of this Section 14 carefully as it required You to arbitrate certain disputes and claims You may have with SOSV and limits the manner in which You may seek relief from SOSV.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\" id=\"h-14-1-pre-arbitration-dispute-resolution\"><strong><strong><strong><strong><strong><strong>14.1. <strong><strong><strong>Pre-Arbitration Dispute Resolution<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">You and SOSV will use best endeavours to initially resolve any dispute arising out of or related to the subject matter of these Terms quickly, efficiently, and amicably through good-faith negotiations. If You have a grievance or concern please email compliance@sosv.com with details and SOSV will aim to work with You to resolve any such grievance or concern as swiftly as possible to the satisfaction of both parties.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">If good-faith negotiations fail to resolve the claim, You and SOSV agree to submit any dispute, controversy, or claim arising out of or relating to this Agreement to mediation administered by JAMS prior to arbitration. The mediation shall be conducted in accordance with the JAMS Mediation Procedures. If the claim is not resolved through mediation within thirty (30) days from the date a request for mediation is submitted, the claim shall be resolved through binding arbitration under the JAMS Streamlined Arbitration Rules and Procedures.<\/p>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">The party seeking arbitration must first send to the other party a written notice of the dispute detailing the nature and basis of the claim or dispute and the relief sought, (the \u201cNotice\u201d). Such Notice should be sent to SOSV at 174 Nassau St., #3000 Princeton, New Jersey 08542, for the attention of General Counsel.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\" id=\"h-14-2-arbitration-rules\"><strong><strong><strong><strong><strong><strong>14.2. <strong><strong><strong>Arbitration Rules<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">If such good-faith negotiations and mediation fail to resolve the dispute, the dispute shall be settled by binding arbitration in Princeton, New Jersey. The arbitration shall be conducted in the English language, by one commercial arbitrator with experience in resolving intellectual property and commercial contract disputes, and shall be in accordance with JAMS Streamlined Arbitration Rules and Procedures (the \u201cRules\u201d) then in effect. Judgment upon the award rendered by any such arbitrator may be entered into any court of competent jurisdiction.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\" id=\"h-14-3-costs-of-arbitration\"><strong><strong><strong><strong><strong><strong>14.3. <strong><strong><strong>Costs of Arbitration<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">The payment of costs and fees associated with the arbitration shall be governed by the Rules.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\" id=\"h-14-4-confidentiality\"><strong><strong><strong><strong><strong><strong>14.4. <strong><strong><strong>Confidentiality<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">The arbitration proceedings, and any ruling, decision, or award by the arbitrator, will be strictly confidential for the benefit of the parties.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\" id=\"h-14-5-waiver-of-jury-trial\"><strong><strong><strong><strong><strong><strong>14.5. <strong><strong><strong>Waiver of Jury Trial<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">You and SOSV waive any constitutional or statutory rights to go to court and have a trial in front of a judge or jury. The arbitrator may not consolidate or join more than one person\u2019s or party\u2019s claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding, unless expressly agreed otherwise in writing by each of You and SOSV.<\/p>\n\n\n\n<h3 class=\"wp-block-heading has-text-align-left has-darkblue-color has-text-color has-regular-font-size\" id=\"h-14-7-severability\"><strong><strong><strong><strong><strong><strong>14.7. <strong><strong><strong>Severability<\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/strong><\/h3>\n\n\n\n<p class=\"has-text-align-left has-dark-grey-blue-color has-text-color has-small-font-size\">If the arbitrator or a court determine that any provision of this Section 14 (Arbitration Agreement) (other than Section 14.6, (Waiver of Class or Consolidated Actions)), is invalid or unenforceable, You and SOSV agree to replace such term or provision with a term or provision that is valid and enforceable and that comes closest to expressing the intention of the invalid or unenforceable term or provision, and this Arbitration Agreement shall be enforceable as so modified. If the arbitrator or a court determine that the provision of Section 14.6 (Waiver of Class or Consolidated Actions) are invalid or unenforceable then this Section 14 (Arbitration Agreement) in its entirety shall be null and void.
